We serve customers worldwide by providing procurement services, global sourcing, inventory management, and distribution solutions across multiple industries including industrial automation, telecommunications, medical technology, aerospace, automotive, consumer electronics, defense, and manufacturing.

2. Acceptance of Orders

All quotations issued by ElectroTech are provided for informational purposes only and do not constitute a binding agreement.

An order becomes accepted only after:

• Review by ElectroTech
• Product availability confirmation
• Pricing verification
• Credit approval (where applicable)
• Written order confirmation issued by ElectroTech

ElectroTech reserves the right to reject or cancel any order without liability prior to shipment.

3. Pricing

Due to the dynamic nature of the global electronics industry, all prices are subject to change without prior notice unless specifically confirmed in writing.

Pricing may fluctuate due to:

• Market shortages

• Tariffs and import duties

4. Product Availability

5. Quotations

6. Payment Terms

Payment terms are established according to approved customer credit status.

• Other approved payment methods

Late payments may be subject to interest charges and collection costs as permitted by applicable law.

7. Taxes, Duties & Customs

Customers are responsible for all applicable:

• GST/HST
• VAT
• Customs duties
• Import fees
• Brokerage charges
• Government levies

Taxes are calculated according to the shipment destination and applicable legislation.

8. Shipping & Delivery

ElectroTech partners with recognized international logistics providers to ensure efficient worldwide delivery.

Delivery schedules are estimates only.

Shipment timing may be affected by:

• Customs inspections
• Weather events
• Transportation delays
• Carrier disruptions
• Export licensing
• Government regulations

ElectroTech shall not be liable for carrier-related delays occurring after products have been released for shipment.

9. Transfer of Title & Risk

Ownership and risk of loss transfer to the purchaser upon delivery of the shipment to the selected carrier unless otherwise agreed in writing.

Customers are responsible for providing complete and accurate shipping information.

ElectroTech is not responsible for shipments delayed or misdelivered due to inaccurate customer information.

10. Inspection Upon Receipt

Customers should inspect all shipments immediately upon delivery.

Any discrepancies involving:

• Shipping damage
• Missing quantities
• Incorrect products
• Visible package damage

must be reported to ElectroTech within five (5) business days of receipt.

Failure to provide timely notification may affect available remedies.

11. Product Authenticity

ElectroTech is committed to supplying authentic electronic components obtained through qualified manufacturers, authorized distributors, and carefully evaluated global suppliers.

Our quality assurance procedures may include:

• Visual inspection
• Documentation verification
• Packaging inspection
• Traceability review
• Customer-requested testing through qualified laboratories

Customers requiring specialized testing should notify ElectroTech before order placement.

12. Counterfeit Prevention

ElectroTech actively supports industry best practices for counterfeit risk mitigation.

Where appropriate, inspection procedures are performed according to customer requirements and recognized industry quality standards.

Products suspected of being counterfeit will be immediately quarantined pending investigation.

13. Export Compliance

Customers agree to comply with all applicable export control laws and international trade regulations.

ElectroTech reserves the right to refuse shipments where export restrictions, sanctions, or governmental regulations prohibit the sale.

Customers are solely responsible for obtaining any licenses or approvals required for importation into their destination country.

14. Non-Cancellable / Non-Returnable (NCNR) Orders

Certain products are designated as Non-Cancellable and Non-Returnable.

NCNR products include, but are not limited to:

• Factory special orders
• Custom manufactured products
• Customer-specific configurations
• Special procurement items
• Manufacturer allocated inventory

Once accepted by ElectroTech, NCNR orders cannot be cancelled, modified, or returned.

15. Warranty Disclaimer

Unless expressly stated in writing, ElectroTech does not manufacture the products sold.

Manufacturer warranties, where applicable, remain the responsibility of the original manufacturer.

Except as required by applicable law, ElectroTech disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

16. Returns & RMA

Returns require prior written authorization through a valid Return Material Authorization (RMA).

Products returned without an approved RMA may be refused.

Eligibility, restocking fees, and warranty conditions are governed by ElectroTech’s separate Returns, Warranty & RMA Policy.

17. Limitation of Liability

To the fullest extent permitted by law, ElectroTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages including, without limitation:

• Loss of profits
• Loss of production
• Business interruption
• Loss of contracts
• Loss of revenue
• Data loss
• Replacement costs

ElectroTech’s total liability shall not exceed the purchase price paid for the affected products.

18. Force Majeure

ElectroTech shall not be responsible for delays or failures resulting from circumstances beyond its reasonable control, including:

• Natural disasters
• Floods
• Fires
• Earthquakes
• Pandemics
• Labor disputes
• Transportation interruptions
• Government actions
• Trade restrictions
• Supplier shortages
• Cybersecurity incidents

Performance obligations shall resume once such events have ended.

19. Intellectual Property

All content available on the ElectroTech website, including text, graphics, logos, trademarks, product information, software, and design elements, remains the property of ElectroTech or its respective owners.

No material may be reproduced, copied, distributed, or modified without prior written permission.

20. Website Usage

Users agree not to:

These Terms & Conditions shall be governed by the laws applicable in the jurisdiction where ElectroTech conducts its principal business operations, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through the appropriate courts having jurisdiction over such matters.

23. Changes to These Terms

ElectroTech may update these General Terms & Conditions at any time to reflect changes in business practices, legal requirements, or operational procedures.

The revised version becomes effective upon publication on our website.
